Remuneration Policy

The Remuneration determination principles of the members of the Board of Directors and the top-level managers target to manage and carry out the rights to be provided to the members of the Board of Directors and the top-level managers, by means of taking into consideration the long-term targets and performance of the Company, in accordance with the regulations of the Capital Market Law and the Turkish Commercial Code.

Accordingly;

The remuneration s of the members of the Board of Directors are determined as gross remuneration s by means of taking into consideration the opinions of the related committee and then presented to the approval of the General Board. It is essential for the remuneration s of the members of the Board of Directors to be at the level to maintain the independence of the remuneration s of the independent members of the Board of Directors. The share certificate options or the payment plans which are based on the Company performance could not be used in determining the remuneration s of the independent members of the Board of Directors.

The remuneration s of the top-level managers and the benefits to be provided to them are determined as compatible with the strategy and policies of the company, in compliance with the equal work conditions and by means of taking into consideration the duties, responsibilities, experiences and performance indicators undertaken in the Company. The remuneration s paid and all of the other benefits provided are disclosed to the public opinion through the annual activity report.

It is also possible to give fringe benefits and performance-based premiums for the top-level managers and the members of the Board of Directors in the manner to severe the long-term performance of the Company in addition to the monthly fixed remuneration s determined in the coverage of the principles in question.

The policy concerning the remuneration determination principles of the top-level managers and the members of the Board of Directors and the changes to be made to this policy are approved by the Board of Directors and then presented to the information and consideration of the General Board and then disclosed to the public in the internet website of the Company.
